"Product" shall me≈₹↕×an any item&nb ✘×'sp;offered for salβ♠<¶e or licensing on t εhe www.wit-color.cn&nbs↓♣p;Web site or Wit-Color' ♦s direct sales mateπ↕©rials (ads, c'←♣£atalogs, specifications&nε•™bsp;sheets etc.), ε¶;including but not limδπ≥ited to hardware ≈γγdevices, software, δ accessories, confi​βσ≥gurations of ∞<✔α;hardware and soφ≤←ftware, CDs and DVDs,&n>§®bsp;and documentation.

The terms and conditio¥λ​ns herein may NOT✔↑ be altered,&n>☆bsp;supplemented,&nbs♠φ€✘p;or amended by th™∞e use of any&nbs""™​p;additional document(s)&n✘λ→bsp;that purport to&nbs≤★>p;be an ag↑♥↔reement of the < parties. A‌®ny attempt to supple©δ☆λment or ame∞§nd these terms anΩ€d conditions or₩• to enter an&‍φ®∏nbsp;order for&nb€αφ<sp;Product(s) wh​​ich is subje≤☆ct to additional σφ≠₩or altered π✘γ☆;terms and conditions&↑£φ★nbsp;shall be null&nb←>×sp;and void.

All orders of Produ '×cts placed by you w₹ ∑★ith Wit-Color are&∞&nbsp;non-cancelable a‍××nd shall be subject ↑®;to acceptance ∏™•‌;by Wit-Color. Wit-Color&nbs₹∑p;reserves the right t£♥♦₩o reject any o✔σrder you place with&nb♦←sp;us, and/or to lim&±it the quantities ₩₹★™on any order. Notwiths₹λ ★tanding any order "↓↕;confirmation o←‍"♦r other communications&nbsπ 'p;sent by Wit-Color,&nb€<‌≈sp;your order shall&n¶≠>bsp;not be dee &med accepted by Wi♣  ©t-Color until Wiδ ₩¶t-Color's shipment of&∏♠®★nbsp;the products ordered₩÷. Your submis™'↓sion of your o♦αrder shall constitu>$te your full acceptanc→♦♥e of these t∏σerms and conditions. I♥₩∑F YOU DO NOT&nb€¥§→sp;ACCEPT THESE&nbs¥"§×p;TERMS, PLEASE DO NOδ≠☆®T SUBMIT AN ORDEβ×≠★R. 

 

Limited Warranties:

With respect to Wit-Coβλ®lor branded Pro↓"₹™ducts, Wit-Color makes ®™™no warranties except&≥≤¥φnbsp;those stated&nbs ±βΩp;in the Wi±≥₽t-Color limited ₹→​;warranty cards☆' included with theλ  Products, o←$☆r, in the& ♦nbsp;case of&nbε≥sp;optional extended wa"∞←rranties issued by Wit-≈§εColor, such extended&nbs‌σ€p;warranty documentation.&§ nbsp;With respect&‌¶nbsp;to third p≥₹​ arty (i,e,. non¥Ω-Wit-Color branded) Prod↔✔≤ucts, such  ↕Products are sold by&nbsΩπ↑ p;Wit-Color AS IS. Howeβ★πver the third par₹£πty manufacturer or s∑¥upplier of these≠₹↔∞ Products may βδ"offer its o£‌£₽wn warranties, and you&n¶$∑∑bsp;agree to look  ♥ solely to γ&such manufacturer or&n₹§$÷bsp;supplier for&δ‍nbsp;any warranty related&nΩγ↓®bsp;claims. WIT-₹π ₩COLOR EXPRESSLY‍©φ± DISCLAIMS ALL&n£↓<bsp;OTHER WARRAN®♦¶TIES, EXPRESSED&φσ₽>nbsp;OR IMPLIED, INCLUD≥σ←ING WITHOUT $↕☆σLIMITATION IMPLIED&↑Ω ↑nbsp;WARRANTIES OF MECHA​☆ ☆NTABILITY AND FITNESS&nbs≥™p;FOR A PARTICULAR PURP×♣£♥OSE AND ANY IMPLIED ↔∞;WARRANTIES OF&•→>♥nbsp;NON-INFRINGEMENT. ‍ 

 

Software License Terms:

All software (in"¶cluding pre-loade↔γ≥d software ♠₹contained in h× φ∏ardware) is p←✔←↓rovided subject to sucσ∑h software's&nbλ↑sp;user license&σ$nbsp;agreement. You agree&↑&π≠nbsp;that you will b↔↓e bound to such&nbsλ&p;agreement. 

 

Payment Terms;&nbα​sp;Price Confirmation/Bi •Ωlling Errors:

Unless otherwise ind ‌‌®icated, the ₽♣purchase price of Produ✔™cts will be&♥ ≤nbsp;billed in full&nbs<π<≥p;at the time of P∑φ$roduct shipment. Wit-Co§→♥lor payment terms are&nb££↑&sp;subject to change&n≈σ☆bsp;without notice&n§<≥bsp;at Wit-Colo•₽≠r's sole discretion. In&ε£nbsp;the unlikely event‌©‌ that a price&​§nbsp;stated on&nb→✔✔sp;a Wit-Color Web ₽$;site or direc↓φ₽t sales materials are↓π♥  incorrect, then&nbε∏&♠sp;the following a≈ pplies: If a&nbs<×&∞p;Product's correct price&nbε≈sp;is lower tha↔♣n our stated&Ω§≈$nbsp;price, we charge&n'>↑¶bsp;the lower price&nbsΩ♠p;and ship you☆™✘γ the Product. If&₽ ✔nbsp;a Product's cor÷♠rect price is π±;higher than ou‌φr stated pric↑π♥e, we will, at oΩ✔‍φur discretion, §∞'either contact you÷γ for instructi§↔→ons before sΩ✘hipping or cancel&nbsφ♠♥p;your order and no ☆↑tify you of such₩&  cancellation.&nbs÷‌p;We reserve the ri& →∑ght to correct t₩♥ ✔he error occurred.&nb♥‍β♦sp;Wit-Color shall&nb₩♥σsp;not be liable&nbs✘¶Ωp;for any billing&≠±↑☆nbsp;errors unles∏¥s you advise&n₹&•bsp;us of such&ε♦∏₽nbsp;billing error withi•Ω♥n sixty (60) days ☆≈δγ;of its transacti‌≈≈εon date. 

 

Products:

Wit-Color continually upda£ε♥™tes and revises&nb∞λ↕✘sp;Products. Wit-Color&nbsβ₹‌p;may revise and/or&n<¥ bsp;discontinue ≈♥↑Products at any timλ♠≥$e. Changes in produ<¶₽cts shipped and produc≠♣₹βts described&nbsπ$∑™p;on Wit-Color&nbs∑↓p;websites and/or di→δ‍rect sales materials are↕§δ possible. Wit-Color ∑✔Products are new unle ✘απss specified as Ω£≥;refurbished. 

 

Shipping and Han∞∏dling/Risk of Loss:

Product prices do not&nb &₽₩sp;include shippi£λσ→ng and handling. Wit-C​☆≠✘olor will use its ≈ε;discretion in&nbγ​sp;selecting a φ•∞;reputable carrier an©•d appropriate means of&σ‍σδnbsp;shipment. Risk of&nbsδ∑ p;loss or damage&nb₹ φsp;to Products ‍  in transit is yo‍¶urs. In the&n>  bsp;event of Pπγ£roduct damage ←'∞or loss during tra¥∑≠nsit, it is your&nbs ←€p;responsibility to&n✘φ♦¥bsp;file a claim ®↑​with the carrier. 

 

Limitation of Liabilπ↔ity:

BOTH YOURS  ↓∏γ;AND WIT-COLOR'S LIAB ≈λ₹ILITY SHALL BE L×✔IMITED TO THE PRICE&nbs∞♣p;PAID FOR PRODUCT. →©;IN NO EVENT S‍☆®HALL EITHER YOU OR&nb↕®sp;WIT-COLOR BE LIABLE&←§nbsp;TO THE OTHER ¶‍§FOR ANY INDIεγRECT, SPECIAL,&$£nbsp;INCIDENTAL OR CON βSEQUENTIAL DAMAGE£©S RESULTING F×↑ROM PERFORMANCE OR ​©​FAILURE TO PERFORM UNDφβER THIS AGREEME₩↕←✘NT, OR FROM THEδ₹‍ FURNISHING, PERFORMAN  ×₩CE OR USE OF&nb "sp;ANY GOODS OR α↑;SERVICE SOLD PURSΩ↔÷¶UANT HERETO, WHETHER DUE↑¥® TO A BREACH OF&n∞®bsp;CONTRACT, BREACH OF&nbs₩ε¶<p;WARRANTY, NEGLIGENCE , '↓;OR OTHERWISE. NEITHER σ←↔;YOU NOR WIT-COLOR S↕> •HALL HAVE ANY LIAB‍ $ILITY TO THE✔' OTHER FOR INDIR&®₩ECT OR PUNITIVE×∞ DAMAGES, OR FOR&≤ε<nbsp;ANY CLAIM BY ¶✔♥∑;ANY THIRD PARTY&♦¥nbsp;EXCEPT AS EXPRESSLY&nbs©™p;PROVIDED HEREIN. 

 

Taxes:

Prices do not include&♦"nbsp;any sales, locaα £l or other similar§₽ taxes. Where applic✘↑↔₽able, taxes w™‌ill be shown on&nb£↓•sp;and added t♣✘o your invoice. Al≥•ε♣l such taxe×↔←s shall be paid by<∏ you. 

 

Governing Law/Waiver&×™αnbsp;of Jury Trial:

This Agreement and a‌↓ll purchases ≤♦¶αhereunder shall b↕ ≠e governed b∏♣α←y and construed ∏₹λ;under the ★δ≤εlaw of P.R.China, withouλ§t regard to co☆λnflicts of laws rules.&± β∏nbsp;You agree that thε•e courts of Shanghai•♦&  shall have exclus‍₹∏←ive jurisdiction →≠ over the partie€↑₹s for all disputesλ☆. Venue sha✔πll lie exclusively and¶β♦↓ only in Fengxia®∞≈εn District  €∏;Court of ®®Shanghai. THE PA±∞₹ RTIES HEREBY&nb©™sp;WAIVE TRIAL BY&n÷≠σ±bsp;JURY WITH RES∞<≈PECT TO ANY DIφΩ£™SPUTE RELATING TO THIS&n¥"•bsp;AGREEMENT OR YOUR&nbs∑★β¶p;ORDER. 

 

Critical Components:

The Products are not₽< authorized for use&nbs"£✘p;as critical ×'←;components in life su←↕<'pport systems&nγ'‌'bsp;or situations where&n★β πbsp;failure to&nbβ±≠sp;perform can reasonably&π'←∑nbsp;be expected&nβ↔©bsp;to cause significant™≠←₹ injury to users‍¥ or others. 

 

Force Majeure:

Wit-Color shall&n•♥πbsp;not be liable✘±≠ for any delay  &₽ or failure in pe∑₩↕rformance caused&nb∏γ βsp;by or resulting fro¶™"'m acts of&§₹•↓nbsp;God, fire, f ‍lood, accident, rioβ₹t, war, governmenπ↕t intervention, embargoe×®s, strikes, labor diffi∏ →culties, equipment fai•​£βlures, or any othe'​r causes beyond the&n♥ £bsp;control of Wit-≤​<σColor. Quantities ★≠₹✘;are subject to a<↔λ♠vailability. In‌>&© the event of&nbs¶‌p;shortage, Wit-Color may&n​ε♣©bsp;allocate sales and♥€ π deliveries in&​ε♦σnbsp;its sole&nb>←sp;discretion. ♠÷"

 

Waiver/Invalidity:

Failure of Wit-Col♦↓"or to insist upon  ←♠≤strict performance&n↕×bsp;of any provisions&nb÷$sp;hereof shall not ®εbe deemed a waiver ​ ♠λof its right and <•<;remedies. If any&nbs § 'p;provision of t₹✘∞his Agreement&n☆∏δαbsp;is deemed&n↔↕‌✘bsp;by a cπ↓♥₽ourt to be unenforce≈©<able, the re≈©  mainder shall stayβ✔₽σ in effect.&nbs£>p;

 

Entire Agreement:

These terms and ​λ ;conditions constitute₽£§ the entire and&n>♠♣bsp;exclusive agreement b →δ≈etween you and∑& Wit-Color concerning&≥€←₹nbsp;the Products and& ∏↕Ωnbsp;your purchase hereunder&γφnbsp;and supersedes any&nb∞®sp;and all stateme✘$≥nts or other agr≤βε‍eements, whether λ∑₹✔;oral or wrδ♦≈σitten, between yo♠σu and Wit-Color. 

 

Trademark:

 

The trademark ÷∏​;"WIT-COLOR" andλ> any other produ ×ct names, servic¶ δe names or lγ$λ®ogos of WIT-COLOR used,≥>∏ quoted and/or refe↑π®®renced in this Web&nbs ‌p;Site are trade‌α•marks or registered tr₹"ademarks of Wit-Color C← ≥♣orporation or any of&nb↕£↓γsp;its affiliates. O ‌ther product names ±¥ and/or company name&×>‌s used in the← ↔ Web Site&nbs™σ§p;may be protected Ω•;as their tradeΩ≥marks and/or trade&nb≠®₩×sp;names.

Warranty Rule

Definition of D€∑amage Reason:

Wit-Color has professiona↕β♥ l engineers t✔♥☆"o make testing a ∑₩ nd inspection for&n"πbsp;Returned Defective&nΩ bsp;Spare Parts to × ‌define the possible ₩ε₽;reasons for&nb™☆Ω←sp;damage, and&nbs♦♥≤∏p;the third pΩ>Ω₩arty that acce£←✔λpted by Wit-Color&nb ↓↕ sp;and customer coul§φd be introduced ©∞$;to make identifica≠©✘tion for damage re‍λason.

 

Warranty Rule:

1. Time Limiπ>tation: 

A. Printer

Wit-Color provides&nb™¥≥sp;all Wit-Color&nbs×$±¥p;branded printers♠$© (Except specific or✘≤ders) with one year ₩×;(Except special st±$ated warranty per€λiod) warranty&nbδ¶sp;service.

B. Valid Ins•‍tallation Certificate

The valid Install♠↑☆$ation Certificate wil£≠l be the § ♦↕;witness for calculating&nb✔≠sp;the One ©∑Year Warranty&nb•§sp;Starting Date ONLY.

The warranty period&nbsβ p;will start from&nbα≈φ£sp;the real $↔Ω↑installation date≤• that stated oΩ‌n Installation Certificate'←₹ (All users shou™₽§↕ld provide theα←≠ Installation C>✘ertificate to Wit-Color&nλ← ☆bsp;Service Department by&nb↔♥sp;fax to 0086-21-₹₽₽54889946 or e©™‍←mail to support@wit-color.cn)¶♦→

In case of&nb≥<✔sp;non-submitting th♥≥e Installation&n≠£×bsp;Certificate, Wit-Color&××α nbsp;will calculate the&nbs‍₽p;starting date from "δthe 30 days&nbs₩→→→p;later after shipment.

C. Spare Part

Wit-Color provides ©§‌all spare parts&nb¥↑ γsp;(Except for print&nbΩ≤✘sp;head and consuma䕧™bles) sold fro ₽↕δm Wit-Color only wΩγβ™ith 90 days&nb¥∑☆×sp;warranty.

D. Valid Express Bill

The valid courier bi÷₩©ll will be th≈¶e witness for calculat≥¥£×ing the 90 Da✔γ™↓ys Warranty Starting&nb♦♣sp;Date ONLY.

The warranty period&nb≥★φ‌sp;will start&nb¥∑sp;from 3 days€ ≠• later after deliver✔•y from factory.

E. Error Delivery for&☆↓"nbsp;Spare Part

In case of any wron'$g delivery for ∞π∞;spare parts or defectiv&∑eness, Wit-Color re<✘quired the rec∞≠eiver should inform&nbs★$™p;Wit-Color Service deparγ£→ tment in the first&n"☆‍bsp;time to get₩ε×☆ RMA (Return&n♦‌↕bsp;Material Authorization)÷α∑≤ number to&nbsπ¶♦p;return the defeλ" ¥ctive or w♥±rong spare par→≈↔εt to Wit-C ₹$σolor.

F. Cost, Fre★☆↔​ight and Custom&n®®‍₹bsp;Tax

All warranted spare partγ✘≤ is free of cha​₩rge.

All freight and custo✘γm tax for&nbs∑ε↔p;warranted or non-w↑•‍arranted spare par♥→t should be at ↑¥;the sender&rsquoλ↓&£;s responsibility.

Wit-Color's warranty δ¶;spare part return polα>∞÷icy allows ¶∞for Products purchased ε→;directly from Wit-Color××✔≤ and shipped&nb$α∑sp;to locations in&¶•★δnbsp;the world&nbs✘ε¶p;to be re‍→™↔turned by y∑★φ↔ou after obtainin♥"g a Wit-Color ✘£return authorization ≠'number (RMA) during >​λ↕;the 30 day Ω∏★←period following&n₹←bsp;date of shipme™↓↑nt by Wit-C>☆↕βolor. 

The custom declaration v∏&₹alue for retur ↑σ™ned parts should be&nb♣ππsp;approved by ✔ φ;Wit-Color Service&n•✔σ±bsp;Department, otherwise&n♦¥bsp;Wit-Color kee♣✘÷♦ps the rights to ♥¥reject, or di∏  ™smantle the returned&nb♥σsp;packages or charg≤←α±e all cost to∞ε the Sender.

A. Defectiveness&nb↑±sp;or malfunction or&nb→β★♣sp;damage caused  Ω;by abnormal or ‍σ>improper operation.

B. Defectiveness or malf≥↓♠unction or damage&nφ₹β↔bsp;caused by unqualified&nbs÷‍εp;operators.

C. Defectiveness&nb↓™sp;or malfuncti✔✘≠₹on or damage∞₹ caused by ✘☆εrunning the printer&nb≈ "λsp;in unqualified&nbs‌€p;environment or condi∏λ€"tions.

D. Defectiveness ♥×↔or malfunction or da"↑↓mage caused by un-aut¥×horized repairing or ≈§ ;disassembling or instal∏¥lation.

E. Defectiveness or m∑σ↑alfunction or damage $λ caused by&n♣€bsp;force majeure such a>§s natural disaster≈✔s, theft, fire, power&n✔ ©↓bsp;failure and&n±π bsp;etc.

F. Consumable spare&nb ↑sp;parts are not&n​→bsp;covered by&‌×∏nbsp;Warranty Rule♦↔.(Print heads, filters,  •;solenoid valves, pumps,&nbs↕♣₽p;tubes, gears, sli©♣¥¥de, belts, p↕✔<₩rint head's adapters&nbs✔✘Ωp;and etc.)

G. The returned ↑☆÷spare parts ≈↓♦®without RMA number.

H. Returned spare&n↔&↑bsp;parts without or> ♣iginal package or≠$♣​ partial damag¥‌© e.

I. Products purchase≥‍♥‍d outside from Wit-Col®∑♦₩or. 

 

6. Limit Warranty

A. For software pro¥π¶duct, Wit-color limit&β×nbsp;warranty fit₽​s for the problems&nbπ→ sp;of failing prog ®ram execution ε£​only, Wit-color ≠☆±;cannot guarantee th©♦♠ere is no ≈≠any interruption§πs or faults in so✔×δftware running.
B. Limit warr←÷anty is limited tπ>o the faults that&nbsπ£♣p;occurred in ✔βγ↓normal operations only,&nbs¶★↓p;but except ©δfor any following prob₩π←®lems caused by:

a．Improper maintenΩ§ ance or calibra↕αtion or adju"&✔™stment;
    b．Using unauthori♣$zed software, medias,>§ spare part&δφ≠s or consumable&nb↓ πγsp;materials or&λ♥÷✘nbsp;supplied by&n✔✔​&bsp;other suppliers;

C. For Witγ‌♠✘-color printer p↑♦roduct, if end-users&nb‍≤←sp;use non-original Wit-π↓color inks, it&nb∏™sp;will not affect&nbs&★ ☆p;any other Wit-color&nb>×↕★sp;technical support ¥™€≥;agreement. But any prob♣×πlems or damages ca©™used by using&nb≤€♥sp;non-original Wit-col®←♠or inks or in the&n'☆bsp;case of u¶←→sing non-origina↕↔l Wit-color inks>©¶¶, Wit-color will charg∏®e the service fee&nb£≤™sp;and material cost&nbs✘∏γp;all the tim₹★∏e.    
D. If customer receiv©α&ed any Defeλ ≠ctive Product Notice in÷♣β warranty period, >‍≥;Wit-color will self-exec>★ute the repai÷♠ring or exchanging&÷™≤¥nbsp;the defective&nb ✘sp;products. 

E. Before returning ∏$↑δ;the defective&nb↑<∞sp;products back to Wit-↑><color, Wit-color will&nb ∞φsp;not bear any r‌ <σesponsibilities for repair←×ing or exchanging.♣∞λ

F.  The e₽§>δxchanged product could&nbs☆♦®≈p;be new or to→↔ be equiva​®lent to ne'→w product on condition&$<nbsp;that the exchang÷₩ed product&rsquoσ☆;s performance&nbs≤'p;and function are e£ ★€quivalent to the&♦λ₩•nbsp;former one.

G. Wit-color produ☆αλ ct may be reprocesseσ¥πd product or sp₽ ≈↕are parts or mσ ¥ aterials which performance&nα→✘≤bsp;and functioγ‍α↑n are equivalent&nb ₹Ωβsp;to the new one×∑α . 

H. Wit-color ‌‌Limit Warranty is&≈®≥nbsp;valid in&n©∑✘♠bsp;all countries or " &;territories for all ←÷®®;products under&₩ε€nbsp;warranty. Anβα d the end-user may&$♠ nbsp;sign other serv✔¥‍‍ice agreement with lo¶✘≤×cal authorized&nbs÷αp;distributors or agents.
